Terms of Service

LEGAL NOTICE AND ACKNOWLEDGMENT: This document constitutes a binding legal agreement governing your use of the Grow & Tell platform. Please read these terms carefully before accessing or interacting with the platform's services. By creating an account, posting content, or using our strain lineage tools, you expressly assent to be bound by these terms.

These Terms of Service (“Terms” or “Agreement”) are entered into by and between the user (“User”, “you”, or “your”) and Grow & Tell (“Platform”, “we”, “us”, or “our”). This Agreement governs your access to and use of the Grow & Tell website, located at growandtell.net, including any subdomains, mobile applications, associated data pipelines, APIs, and community portals operated by us.

1. Scope of Platform Services

Grow & Tell operates exclusively as an online informational, analytical networking, and community platform dedicated to cannabis genetics and strain lineages. The Platform provides proprietary interactive software tools designed to allow users to explore multi-generational botanical strain histories, maintain personal cultivation journals (“Grow Journals”), log data metrics, publish qualitative commentary, and share information among hobbyist growers, legal cultivators, and commercial breeders. All tools, reference graphs, and automated data processing features provided on the site are accessed at your own sole discretion, volition, and risk.

2. User Eligibility & Statutory Compliance

You must be at least twenty-one (21) years of age, or the legal age of majority within your specific state or local jurisdiction, whichever is greater, to access or use any portion of the Platform. By creating an account, interacting with Platform data, or uploading user-generated content, you represent, covenant, and warrant that you satisfy this baseline age restriction and that your utilization of the Platform is fully compliant with all local, state, operational, and federal statutory exceptions applicable where you reside. The Platform explicitly prohibits use of its infrastructure in jurisdictions where agricultural genetic data processing or informational networks of this type are restricted.

3. Account Security, Handles, & Deletion Architecture

3.1 Registration and Security Responsibilities. To access specific features, including Grow Journals or community forums, you must establish an authorized account profile. You retain exclusive, non-delegable responsibility for safeguarding your private account credentials, passwords, and access keys, and you assume absolute contractual liability for any content, messages, or metadata transmitted or published from your account credentials.

3.2 Public Identifiers and Handle Restrictions. Upon account creation, you must select a unique public handle. Handles are strictly constrained by systemic rules: they must consist entirely of lowercase letters, numerical digits, dashes, or underscores, and must possess a length between three (3) and thirty (30) characters. This handle serves as your persistent public identifier across all comments, journal entries, bylines, and custom profile routing URLs. Your registered email address is kept strictly confidential and is never displayed publicly. You may alter your public handle within your profile settings at your discretion, subject to pre-existing alphanumeric availability. The deliberate impersonation of another natural person, verified legal brand, registered entity, or established organization via your handle is strictly forbidden and constitutes non-curable grounds for immediate account suspension or termination.

3.3 Account Deletion Protocol. You possess the right to terminate your account at any time via your settings dashboard. Upon execution of a deletion command, the Platform initiates a permanent, irreversible cascade-deletion sequence within its active databases. This operation permanently purges your personal Grow Journals, historical entries, log photos, user comments, account follows, and bookmarked records. Factual strain corrections or genetic updates submitted by you to the central reference database are retained as permanent administrative records but are completely stripped of your identity, anonymized, and unlinked from your historical handle.

4. Breeder Verification Protocols

Accounts seeking status as a verified commercial breeder (“Verified Breeder”) undergo a manual internal review process by Platform administration. Approval of a Verified Breeder badge signifies strictly that the Platform has verified the applicant’s structural identity and ownership claim over the corresponding commercial entity; it does not constitute, and shall never imply, a corporate endorsement, commercial warranty, quality guarantee, or product validation by the Platform. The Platform explicitly reserves the unilateral right to suspend, revoke, or delete Verified Breeder status at any time, without prior notice, for misrepresentation, brand impersonation, or violations of this Agreement.

5. User-Generated Content (UGC) & Infrastructure Safety

5.1 Ownership and License Grants. You retain all pre-existing intellectual property rights and full underlying ownership over your UGC, including text-based journal entries, cultivation photos, written comments, and attachments. By uploading or transmitting UGC through the Platform, you hereby grant Grow & Tell a perpetual, irrevocable, non-exclusive, worldwide, royalty-free, fully sub-licensable license to host, store, cache, reproduce, modify, distribute, publish, translate, and publicly display such content on the site and within related promotional distributions (such as dynamic social media sharing previews and automated newsletters).

5.2 Comment System Architecture. The Platform’s interactive comment engines support single-level threading (replies), photo attachments, 'Helpful' community feedback reactions, automated handle-based @-mentions (which trigger real-time in-app user notifications), journal-owner pinning (permitting the author of a Grow Journal to pin one text block to the top of their thread), and breeder endorsements (allowing a Verified Breeder associated with a specific strain to append an analytical endorsement badge to a specific comment). You may edit or delete your own published comments at any time. Additionally, the specific owner of a Grow Journal or a Platform administrator retains the absolute right to delete any comment published within their respective threads.

5.3 Automated Metadata Sanitization. To preserve user privacy and operational security, all photographic files uploaded to Grow Journals or comments are programmatically intercepted server-side, re-encoded, and stripped completely of all embedded Exchangeable Image File Format (EXIF) metadata, including satellite-tracked GPS coordinate strings, timestamp logs, and camera hardware signatures, prior to permanent cloud storage. The Platform never stores or preserves the uncompressed original binary file.

5.4 Prohibited Content Standards. You explicitly agree not to upload, transmit, or link to any content that: (a) infringes upon third-party copyrights, patents, trademarks, or proprietary trade secrets; (b) doxes other users or exposes private personal identifying information; (c) harasses, threatens, or defames natural persons or organizations; (d) advertises, facilitates, or brokers the unlawful sale, distribution, or gray-market transfer of regulated cannabis products outside of licensed, compliant state legal frameworks; (e) impersonates real individuals or entities; or (f) violates any applicable local, state, federal, or international law. Users may report violations using the integrated in-app content reporting tool or by emailing our moderation desk. The Platform reserves the absolute right to hide, modify, or permanently remove any content that violates these structural standards.

5a. Strain Information as Factual Reference Resource

Grow & Tell maintains an immutable, objective catalog of cannabis strain information, consisting of genetic names, lineage flowcharts, cross-breeding parentage, and public biological milestones, operating as an open factual reference resource for the horticultural community. Strains may be cataloged, cross-referenced, and listed without their original breeder being a registered participant or commercial account-holder on the site. Such public reference entries reflect objective historical and genetic facts and do not denote an endorsement, sponsorship, or active commercial relationship. As noted in the Commercial Breeder Merchant Agreement, a commercial breeder who does not wish to participate in the Platform's commercial features may request that all profit-driving integrations (such as outbound checkout hyperlinks, buy-seed redirects, and custom merchant tracking) be completely removed for their strains. However, historical, factual, and biological lineage records are preserved permanently regardless of registration status, as they constitute vital scientific reference value for the broader cultivation community.

6. Premium Subscriptions & Billing Architecture

Optional tiered premium features for growers (“Premium Subscriptions”) are billed on a recurring monthly or annual basis via our authorized third-party billing processor, Stripe. You may cancel your subscription service at any time directly through your profile management panel, upon which access to premium tools will continue uninterrupted through the technical conclusion of your current paid billing period. The Platform does not provide prorated refunds or credits for partial monthly cycles; however, if platform features are materially broken due to internal server errors or systemic issues on our end, users are encouraged to submit a claim for technical remediation.

7. Sponsored Content, Disclosures, & Monetized Redirects

Certain breeder profile placements, search results, and strain banners visible on the site constitute paid advertisements or commercial sponsorships. These promotional slots are programmatically appended with a highly visible “Sponsored” badge displayed next to the advertiser's corporate name to maintain legal compliance. Editorial selections designated as “Featured” are entirely unpaid admin picks selected at the absolute discretion of the Platform's staff. Outbound links directed to external breeders or seed e-commerce repositories (such as “Buy Seeds” buttons) route consumers through tracking redirects to log click-through numbers. Certain destination links utilize active affiliate tracking structures, meaning the Platform may collect a percentage-based commission on resulting purchases. This tracking mechanism never inflates the purchase price paid by the consumer, and the Platform strictly prohibits commercial commission status from altering, editing, or influencing the factual genetic lineage or scientific data displayed within our reference catalogs.

8. Unilateral Suspension & Termination Actions

The Platform maintains the unilateral right, without prior warning, contractual penalty, or liability, to suspend, restrict, or permanently terminate any user account that violates the explicit provisions of these Terms, engages in systematic platform abuse, interrupts server operations, or uploads content that poses regulatory or criminal liability. You may terminate your legal relationship with the Platform at any point by executing the self-deletion sequence detailed in Section 3.3.

9. Comprehensive Warranties Disclaimer

ALL MATERIALS, SOFTWARE TOOLS, LINEAGE DATA, HORTICULTURAL ADVICE, DISCOVERY GRAPHS, USER-CONTRIBUTED GROW JOURNALS, AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE PLATFORM EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC BOTANICAL PURPOSE, TITLE, COMPLIANCE, AND NON-INFRINGEMENT. WE MAKE NO LEGAL GUARANTEES REGARDING THE BIOLOGICAL ACCURACY, PREDICTIVE STABILITY, OR GENETIC PURITY OF THE STRAIN DATA DISPLAYED. UNDER NO CIRCUMSTANCES SHALL INFORMATION ACCESSED ON THE PLATFORM BE CONSTRUED AS A SUBSTITUTE FOR PROFESSIONAL AGRICULTURAL CONSULTING, TAX ADVICE, OR REGULATORY LEGAL COUNSEL.

10. Amendments & Material Variations

The Platform reserves the absolute right to amend, update, or rewrite these Terms at any time. When material changes are implemented, the Platform will post a prominent notice across our user dashboards or deliver a transmission to your email on file. Your continued utilization of the Platform following the formal publication of an updated version constitutes your conclusive contractual acceptance of the revised Terms.

12. Statutory Jurisdiction & Boilerplate Framework

12.1 Governing Law and Venue. This Agreement, and all claims, controversies, or causes of action arising out of or relating to your use of the Platform, shall be governed by, and construed in strict accordance with, the internal laws of the State of Iowa, without regard to its conflict of laws principles. Any legal suit, action, or judicial proceeding arising out of or relating to these Terms shall be instituted exclusively in the federal or state courts located in the State of Iowa, and each party hereby irrevocably submits to the exclusive personal jurisdiction of such courts.

12.2 Dispute Resolution via Binding Arbitration. In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties shall first attempt to resolve the issue through mutual good-faith informal negotiations. If informal resolution is not achieved within thirty (30) days, the matter shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The physical location of the arbitration shall be within the State of Iowa, and judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction.

12.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISDICTIONAL LAW, IN NO EVENT SHALL GROW & TELL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR CULTIVATION CROPS, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS PLATFORM. THE PLATFORM'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12.4 Severability and Entire Agreement. If any provision of these Terms is deemed invalid or unenforceable by an arbitrator or court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms, alongside the Platform's Privacy Policy and any separate Commercial Breeder Agreements executed by you, constitute the complete and exclusive entire agreement between the parties regarding the use of the Platform.
